Board of Directors and Supervisory Committee Job Descriptions
Board of Directors
Basic Responsibilities:
- Sets general direction and policy for the credit union;
- Ensures that the credit union is well managed, financially secure and in compliance with legal requirements;
- Monitors progress toward goals.
Jointly with other board members:
- Work with the CEO to develop vision and planning objectives that meet the needs of the members, reflect credit union philosophy and assure sound operation;
- Approve plans and budgets;
- Monitor implementation of plans and budgets;
- Hire, supervise and evaluate President/CEO;
- Monitor financial condition and ensure continued sound operation to protect member funds and credit union assets;
- Approve policies as required by regulation or legislation;
- Monitor implementation of policies;
- Ensure compliance with bylaws and applicable state or federal laws and regulations;
- Ensure adequate ongoing education for volunteers.
As an individual:
- Attend monthly board and committee meetings, annual membership meeting, any special membership meetings, and the annual business planning meeting(s);
- Read and evaluate the monthly financial reports and other board materials before meetings;
- Provide input and participate in decisions of the board;
- Maintain and improve knowledge of the credit union and financial industry to ensure knowledgeable decisions are made on behalf of the membership;
- Represent the credit union to the community;
- Promote the credit union and its services as appropriate in day-to-day interactions;
- Solicit members for volunteer positions within the credit union.
Supervisory Committee
Supervisory Committee is responsible to keep fully informed as to the financial condition of the Credit Union; to cause to be made annually a complete examination of the cash, the Credit Union accounts, including income and expense, and the members' accounts in accordance with rules adopted by the Supervisory Committee; and to report its findings and recommendations to the Board and make an annual report to the members at the Annual Meeting.
- The committee is required to keep a complete record of all its proceedings.
- All reports are to be filed and preserved with the records of the Credit Union.
- The committee is responsible for regular audits and examinations of the Credit Union records and operations, and shall report their findings to the Board.
- The committee has the authority, and the responsibility, to engage and use an independent auditor or CPA as needed. The committee shall satisfy themselves that necessary corrective actions have been taken to comply with regulatory agency recommendations and requirements.
